SCANDINAVIA LEASING reported that its independent financial adviser, the company's board and the audit committee had all advised against the acquisition of Deva Development. The Stock Exchange of Thailand yesterday recommended that shareholders carefully scrutinise information on purchasing the ordinary shares of Deva and also suggested they attend the company's extraordinary meeting of shareholders on June 30. In April, Scandinavia Leasing informed the SET that its board had accepted a proposal to purchase a 63.95-per-cent equity in Deva from Pinmook Senadisai and Chanond Senadisai. As previously advised, Pinmook and Chanond are close relatives of directors and shareholders of SMC Motors, holding 49.9 per cent of the company's paid-up capital.
COMPASS EAST INDUSTRY (THAILAND) reported a third-quarter net profit of Bt4.8 million, compared to Bt6.24 million in the same period last year. For the first nine months of its financial year, Compass made a net loss of Bt91.24 million, compared to a Bt39.98-million net profit a year ago.
ASIA CORP reported that it would dissolve its wholly owned subsidiary A Game, which has paid-up capital of Bt5 million. A Game has not operated in the game-development business, and its dissolution therefore has no impact on Asia Soft's operations.
VANACHAI GROUP reported a connected transaction for the rent and service of offices of the company and its subsidiaries, valued at Bt33.19 million annually. Some shareholders and directors of the company and subsidiaries are also lessees and lessors.
